To remove administrative bottlenecks and facilitate smoother market exits for enterprises, the Ministry of Finance has issued an official dispatch instructing provincial Departments of Finance to accelerate business dissolution procedures.

The directive is based on the Enterprise Law and its amending decrees on business registration (Decree No. 168/2025/ND-CP and Decree No. 296/2026/ND-CP).

The ministry instructed provincial business registration authorities to coordinate closely with tax offices to minimize processing delays.

Under the new directive, business registry authorities must receive, process, and transmit dissolution records to the relevant tax office within one working day.

Once formal confirmation of fulfilled tax obligations is received, the enterprise's legal status must be updated to "Dissolved" within one working day. Notably, if the tax authority fails to respond within two working days of receiving the forwarded information, the business registry will automatically update the company's status to "Dissolved" within the following working day.

For businesses that pass a dissolution resolution or issue a closure notice but fail to submit full dissolution dossiers within 180 days—provided there are no formal written objections or complaints from tax authorities or third parties—state management agencies will proactively update the enterprise's legal status to "Dissolved" and terminate its branches and representative business locations within one working day.

In the event of network congestion or system outages, the two authorities are instructed to handle coordination through flexible offline channels to guarantee that tax feedback is delivered within no more than two working days.

The Finance Ministry’s decisive directive is outlined amid heavy processing pressure. According to business registration figures for the first nine months of 2026, more than 48,700 enterprises completed formal dissolution procedures—a steep surge of 118.8% year-on-year. On average, roughly 19,100 enterprises exited the market each month.

In contrast, the number of enterprises temporarily suspending operations stood at nearly 89,800 (down 9.7%), while businesses ceasing operations to await dissolution procedures dropped to 33,500 (down 37.0%).

The noticeable shift from "inactive awaiting dissolution" (down 37%) to "completed dissolution" (up 118.8%) underscores substantial enterprise demand to permanently resolve corporate lifecycles, requiring regulatory bodies to accelerate operational turnaround and prevent administrative backlogs.
