Ngày 31/03/2026, Chính phủ đã ban hành Nghị định 103/2026/NĐ-CP quy định về đầu tư ra nước ngoài, có hiệu lực từ ngày 03/04/2026. Nghị định này thay thế Chương VI của Nghị định số 31/2021/NĐ-CP.

Nghị định này áp dụng cho các nhà đầu tư và cơ quan nhà nước có thẩm quyền, cũng như các tổ chức, cá nhân liên quan đến hoạt động đầu tư ra nước ngoài.

- Phạm vi điều chỉnh và đối tượng áp dụng

Nghị định quy định chi tiết các điều khoản của Luật Đầu tư liên quan đến hoạt động đầu tư ra nước ngoài, bao gồm thủ tục và quản lý nhà nước. Tuy nhiên, các hoạt động đầu tư ra nước ngoài như mua bán chứng khoán hoặc đầu tư trong lĩnh vực dầu khí không thuộc phạm vi điều chỉnh của Nghị định này.

- Điều kiện và thủ tục đầu tư ra nước ngoài

Nhà đầu tư phải đáp ứng các điều kiện như không thuộc ngành nghề cấm đầu tư, có quyết định đầu tư hợp lệ, và hoàn thành nghĩa vụ thuế. Thủ tục bao gồm việc cấp, điều chỉnh, và chấm dứt hiệu lực Giấy chứng nhận đăng ký đầu tư ra nước ngoài. Bộ Tài chính là cơ quan chủ quản thực hiện các thủ tục này.

- Quy định về vốn đầu tư và chuyển lợi nhuận

Nguồn vốn đầu tư ra nước ngoài bao gồm vốn chủ sở hữu, vốn vay, và lợi nhuận từ dự án đầu tư. Nhà đầu tư có thể giữ lại lợi nhuận để tái đầu tư hoặc phải chuyển lợi nhuận về nước trong thời hạn 12 tháng kể từ ngày được chia lợi nhuận, trừ trường hợp có thông báo và được gia hạn.

- Quản lý và hỗ trợ đầu tư ra nước ngoài

Chính phủ thống nhất quản lý nhà nước về đầu tư ra nước ngoài, với Bộ Tài chính chịu trách nhiệm chính. Các cơ quan nhà nước có thẩm quyền sẽ hỗ trợ nhà đầu tư trong việc cung cấp thông tin, kết nối đối tác, và tháo gỡ khó khăn. Nhà đầu tư phải thực hiện chế độ báo cáo định kỳ về tình hình hoạt động của dự án đầu tư ra nước ngoài.

- Xử lý vi phạm và giải quyết tranh chấp

Nhà đầu tư vi phạm quy định sẽ bị xử lý theo mức độ vi phạm, từ xử lý hành chính đến truy cứu trách nhiệm hình sự. Chính phủ không chịu trách nhiệm giải quyết tranh chấp giữa các nhà đầu tư hoặc giữa nhà đầu tư với các tổ chức, cá nhân liên quan. Nhà đầu tư tự chịu trách nhiệm về mọi thiệt hại phát sinh do vi phạm quy định.
