Quy định mới về kiểm toán độc lập đối với các tổ chức tín dụng

(BKTO) - Theo Thông tư số 27/2026/TT-NHNN vừa được Ngân hàng Nhà nước (NHNN) ban hành, các tổ chức tín dụng phải thông báo bằng văn bản về tổ chức kiểm toán độc lập được lựa chọn trong vòng 30 ngày, đồng thời gửi kết quả kiểm toán trong thời hạn 90 ngày sau khi kết thúc năm tài chính. Thông tư cũng phân định rõ trách nhiệm của các đơn vị thuộc NHNN trong công tác giám sát và xử lý kết quả kiểm toán.

Ngân hàng Nhà nước Việt Nam (NHNN) đã ban hành Thông tư số 27/2026/TT-NHNN sửa đổi, bổ sung một số điều của Thông tư số 51/2024/TT-NHNN quy định về kiểm toán độc lập đối với ngân hàng thương mại, tổ chức tín dụng phi ngân hàng, tổ chức tài chính vi mô và chi nhánh ngân hàng nước ngoài. Thông tư có hiệu lực thi hành từ ngày 10/8/2026.

Thông tư số 27/2026/TT-NHNN gồm 7 điều, tập trung sửa đổi, bổ sung một số quy định nhằm phù hợp với cơ cấu tổ chức, chức năng, nhiệm vụ của các đơn vị thuộc NHNN sau khi được tổ chức lại, đồng thời bảo đảm thống nhất với các quy định của pháp luật có liên quan trong việc thực hiện kiểm toán độc lập đối với các tổ chức tín dụng. 

Thông tư sửa đổi quy định về trách nhiệm thông báo tổ chức kiểm toán độc lập được lựa chọn. Theo đó, trong thời hạn 30 ngày kể từ ngày quyết định lựa chọn tổ chức kiểm toán độc lập, tổ chức tín dụng có trách nhiệm gửi thông báo bằng văn bản đến NHNN bằng hình thức trực tiếp, qua dịch vụ bưu chính hoặc trực tuyến (nếu có). Đối với tổ chức tín dụng và chi nhánh ngân hàng nước ngoài, thông báo được gửi về Cục Quản lý, giám sát tổ chức tín dụng; riêng chi nhánh ngân hàng nước ngoài thuộc đối tượng thanh tra, giám sát an toàn vĩ mô của NHNN chi nhánh Khu vực gửi về NHNN chi nhánh Khu vực nơi đặt trụ sở.

Thông tư cũng quy định trong thời hạn 90 ngày kể từ ngày kết thúc năm tài chính, các đơn vị phải gửi kết quả kiểm toán độc lập cho NHNN theo các hình thức nêu trên và đúng đầu mối tiếp nhận theo quy định.

Thông tư sửa đổi, bổ sung quy định về trách nhiệm của NHNN chi nhánh Khu vực. Theo đó, NHNN chi nhánh Khu vực có trách nhiệm phân tích, đánh giá và xử lý kết quả kiểm toán độc lập; trường hợp phát hiện kiểm toán viên hành nghề hoặc tổ chức kiểm toán vi phạm quy định của pháp luật trong quá trình thực hiện kiểm toán độc lập đối với tổ chức tín dụng, chi nhánh ngân hàng nước ngoài thì báo cáo, đề xuất Thống đốc NHNN xem xét, xử lý thông qua Cục Quản lý, giám sát tổ chức tín dụng.

 Đồng thời, NHNN chi nhánh Khu vực thực hiện thanh tra, kiểm tra việc chấp hành các quy định của Thông tư và có ý kiến về nghiệp vụ chuyên môn thuộc lĩnh vực tiền tệ, ngân hàng trong báo cáo kiểm toán và thư quản lý của chi nhánh ngân hàng nước ngoài khi có yêu cầu của cơ quan có thẩm quyền.

Đối với Cục Quản lý, giám sát tổ chức tín dụng, Thông tư sửa đổi quy định về trách nhiệm của đơn vị này theo hướng giao nhiệm vụ tổng hợp, trình Thống đốc NHNN các báo cáo của NHNN chi nhánh Khu vực; phân tích, đánh giá và kiến nghị xử lý kết quả kiểm toán độc lập của tổ chức tín dụng, chi nhánh ngân hàng nước ngoài. Đồng thời, Cục có trách nhiệm báo cáo, đề xuất Thống đốc NHNN xem xét các trường hợp theo quy định; thông báo cho Bộ Tài chính khi phát hiện hoặc nhận được báo cáo về việc kiểm toán viên hành nghề, tổ chức kiểm toán vi phạm quy định của pháp luật trong quá trình thực hiện kiểm toán độc lập.

Thông tư cũng bổ sung Điều 17a quy định trách nhiệm của Thanh tra Ngân hàng Nhà nước. Theo đó, Thanh tra Ngân hàng Nhà nước thực hiện thanh tra việc chấp hành quy định của Thông tư, xử lý hoặc kiến nghị xử lý theo thẩm quyền đối với các trường hợp vi phạm; đồng thời báo cáo, đề xuất Thống đốc NHNN thông báo cho Bộ Tài chính khi qua công tác thanh tra phát hiện kiểm toán viên hành nghề hoặc tổ chức kiểm toán vi phạm quy định của pháp luật trong quá trình thực hiện kiểm toán độc lập đối với tổ chức tín dụng, chi nhánh ngân hàng nước ngoài.
